Terms of Service

These terms of service("Terms", "Agreement") are an agreement between Zylica Technologies Limited ("Zylica", "us", "we" or "our") and you ("User", "you" or "your"). This Agreement sets forth the general terms and conditions of your use of the Zylica mobile application and any of its products or services (collectively, "Mobile Application" or "Services").

Age requirement

You must be at least 16 years of age to use this Mobile Application. By using this Mobile Application and by agreeing to this Agreement you warrant and represent that you are at least 16 years of age.

User content

We do not own any data, information or material ("Content") that you submit in the Mobile Application in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may, but have no obligation to, monitor and review Content in the Mobile Application submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Unless specifically permitted by you, your use of the Mobile Application does not grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose.

Prohibited uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Mobile Application or its Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related mobile application, other mobile applications, or the Internet; (h) to spam, phish, pharm, pretext, spider, crawl, or scrape; (i) for any obscene or immoral purpose; or (j) to interfere with or circumvent the security features of the Service or any related mobile application, other mobile applications, or the Internet. We reserve the right to terminate your use of the Service or any related mobile application for violating any of the prohibited uses.

Charges

Free Access: The App is provided to you on a free basis, granting you access to its basic features upon download.

Premium Options: Access to certain services and/or additional features within the App ("Premium options") requires In-App Purchases, including paid subscriptions. The full list of Premium options and pricing is provided on the App's page. During the signup process, you may have the opportunity to try Premium options during a free trial period. After the free trial period expires, an auto-renewing subscription period will begin on a regular basis. Please note that you will be charged automatically unless you cancel your subscription at least 24 hours before the end of the free trial period.

Payment: Payment for Premium options will be charged to the payment method you provided at the time of purchase, upon confirmation of purchase. This confirmation may occur after you confirm by single-touch identification, facial recognition, or by entering your payment method details on the web. You authorize us to charge the applicable subscription fees to the payment method you use.

Cancellation and Access: If you choose to cancel your subscription, you will still have access to the basic functions of the App. Premium options are available throughout the entire free trial period.

Subscription Options: You have the choice to select different subscription options. The prices for each subscription option are indicated in the Information section on the App's page in the Apple App Store or on the App's web page. Prices are denominated in U.S. dollars and may vary in countries other than the U.S. You will have all the necessary information about your subscription plan and the duration of the free trial period available on the signup screen before making a purchase.

Subscription Renewal and Modification: Subscriptions with a free trial period will automatically renew to a paid subscription. Any unused portion of a free trial period, if offered, will be forfeited upon the user's purchase of a subscription, where applicable. We reserve the right to modify, terminate, or amend our offered subscription plans at any time.

Subscription Renewal: Your subscription will be automatically renewed within 24 hours before the current subscription period ends. The auto-renew option for subscriptions made through the Apple App Store can be turned off in your Apple ID Account Settings at least 24 hours before the end of the current period. Payment will be charged to your Apple ID Account upon confirmation of purchase. No cancellation of the current subscription is allowed during the active subscription period. Subscriptions made through the Apple App Store are managed by you.

Canceling via App's Web Page: Please note that if you have purchased the subscription on the App's web page, you will not be able to manage it through the Apple App Store. Instead, you may cancel your subscription via our support chat, available within the App, or by contacting us through our support form. Please ensure that you cancel your subscription at least 24 hours before the trial period ends to prevent unwanted charges.

Subscription Deactivation: Removing the App from your device does not deactivate your subscription. Please follow the cancellation process outlined in these Terms to ensure the proper termination of your subscription.

Communication Service Charges: You may be charged by your communications service provider for downloading and/or accessing the App on your mobile phone or tablet device. We recommend reviewing the terms of agreement with your operator to understand the charges associated with using the App. This may include data roaming charges if you use the App outside your home territory. All these charges are solely your responsibility. If you fail to pay the bills related to your mobile phone or tablet device, we assume that you have obtained permission from the person responsible for payment before incurring any of these charges.

Intellectual property rights

"Intellectual Property Rights" means all present and future rights conferred by statute, common law or equity in or in relation to any copyright and related rights, trademarks, designs, patents, inventions, goodwill and the right to sue for passing off, rights to inventions, rights to use, and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, rights to claim priority from, such rights and all similar or equivalent rights or forms of protection and any other results of intellectual activity which subsist or will subsist now or in the future in any part of the world. This Agreement does not transfer to you any intellectual property owned by Zylica or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Zylica. All trademarks, service marks, graphics and logos used in connection with the Mobile Application or Services, are trademarks or registered trademarks of Zylica or Zylica licensors. Other trademarks, service marks, graphics and logos used in connection with the Mobile Application or Services may be the trademarks of other third parties. Your use of the Mobile Application and Services grants you no right or license to reproduce or otherwise use any Zylica or third party trademarks.

Limitation of liability

To the fullest extent permitted by applicable law, in no event will Zylica, its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Zylica and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to Zylica for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.

Changes and amendments

We reserve the right to modify this Agreement or its policies relating to the Mobile Application or Services at any time, effective upon posting of an updated version of this Agreement in the Mobile Application. When we do, we will revise the updated date at the bottom of this page. Continued use of the Mobile Application after any such changes shall constitute your consent to such changes.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By using the Mobile Application or its Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to use or access the Mobile Application and its Services.
